Xiao Liu is a licensed lawyer in California, New York, Illinois and China with over 28 years of transactional and commercial experiences concentrating on general corporate, corporate financing, nonprofit incorporation, corporate reorganization, capital restructuring, mergers & acquisitions, commercial contracts, private equity, securities regulations and China related cross-border transactions.

Ms. Liu spent 14 years working in large law firms in Chicago (Bell, Boyd & Lloyd LLP, now K&L Gates), Hong Kong (Herbert Smith) and Beijing (Zhongxin Law Offices) and serving at a high-tech company as its General Counsel in California.

She advises companies with issues that arise at any point in the lifespan of a business from entity type selection, establishment of enterprise or startups, regulatory compliance, director and shareholder liability, employment related issues, to corporate restructuring, corporate series seed and series A financing, mergers & acquisitions, and dissolution of corporation, through all aspects of its evolution and operation. Ms. Liu has extensive experience in corporate financing, mergers & acquisitions and contracts drafting and negotiation. Over years of practice, she has negotiated and documented numerous series seed and series A financing projects for companies and investors, mergers and acquisitions for buyers as well as for sellers in the U.S. and China in a variety of industries including securities trading, biotechnology, thermal power, petroleum, infrastructure, iron, media, high-tech, technology trade, pharmaceutical, venture capital fund and mutual fund.

With respect to outbound practice, Ms. Liu represents companies on setting up representative offices, joint ventures and wholly foreign owned enterprises in China, conducting buy-outs and mergers and acquisitions with Chinese private and public companies, advising on IPOs in China and international placement under Rule 144A/Regulations S and other China related inbound and outbound transactions.

Ms. Liu also advises businesses on Chinese legal issues including general corporate, corporate regulatory compliance, contracts, intellectual property, and real estate.

Ms. Liu has handled a wide variety of transactional matters in China and she is quite familiar with legal systems and regulatory compliance issues of Chinese government.
